Terms of business
The standard basis on which we work. Anything signed between us takes precedence over what's here.
Last updated: 14 August 2026
Draft for review. These terms are a working draft and should be reviewed by a solicitor before they are relied on commercially.
1. Who these terms apply to
These terms govern services provided by Corporate Event Experts Ltd (company number 17368711, registered office 34 Richard Street, Crewe, England, CW1 3AG) to business clients. They do not apply to consumers. Where we issue a signed proposal, letter of engagement or retainer agreement, that document prevails over these terms to the extent of any conflict.
2. Quotations and acceptance
Quotations are valid for 30 days unless stated otherwise and are based on the information supplied in your brief. A contract forms when you accept a quotation in writing, or when we begin work at your written request.
Where the brief changes materially (headcount, venue, date or scope) we will issue a revised quotation before continuing.
3. Fees and supplier costs
- Our fee is fixed at the point of acceptance, or charged monthly under a retainer.
- Supplier costs (venue, catering, AV, entertainment, travel and print) are additional and passed through at cost, with supporting documentation.
- Rebates. Where a supplier pays us a rebate or commission on your event, it is credited against your invoice, except on standalone venue finding (clause 4).
- All amounts exclude VAT where applicable.
4. Venue finding
Standalone venue finding is provided free of charge to you. We are paid a commission by the venue on confirmed bookings, at no increase to the rate you are quoted. You are under no obligation to book any venue we present. If, having been introduced to a venue by us, you book it directly within 12 months to avoid our commission, we reserve the right to invoice you the equivalent amount.
5. Payment
- Deposit: 50% of our fee on acceptance, or as set out in the proposal.
- Supplier costs: payable in line with each supplier's own terms, which we will pass to you in advance. Venues commonly require full prepayment.
- Balance: within 14 days of the final invoice.
- Retainers: billed monthly in advance.
Payment is by bank transfer to the account shown on our invoice, or by card through our payment provider's secure page. Late payment carries interest and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. Questions about an invoice or a payment go to accounts@corporateeventexperts.co.uk.
Fraud warning. Our bank details do not change. We will never email, text or message you to notify a change of account, and we will never ask you to send card numbers or security codes by email, WhatsApp or any other messaging service. If you receive such a request purporting to come from us, do not act on it. Call 07899 872153 to verify.
6. Your responsibilities
You agree to:
- Provide accurate information, final numbers and content by the deadlines we agree
- Obtain any consents needed from your delegates for us to process their details
- Hold appropriate insurance for your own staff and property at the event
- Nominate one person authorised to approve costs on your behalf
Delays caused by late information may increase costs or affect what can be delivered. We will flag this as soon as we see it coming.
7. Cancellation and postponement
If you cancel, our fee becomes payable on the following scale, in addition to any supplier charges you are already committed to under their own terms:
| Notice given before the event | Our fee payable |
|---|---|
| More than 90 days | 25% |
| 60 to 90 days | 50% |
| 30 to 59 days | 75% |
| Fewer than 30 days | 100% |
Supplier cancellation terms are separate, are frequently stricter than ours, and will be supplied to you before you commit. On postponement to a confirmed new date within 12 months, we will transfer our fee to the new date and charge only for work that genuinely has to be redone.
Retainers may be terminated by either party on 30 days' written notice. Fees already invoiced for the notice period remain payable.
8. Liability
We carry public liability and professional indemnity insurance; certificates are available on request. Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, our total liability arising out of any engagement is limited to the total fees paid by you to us for that engagement. We are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings.
We contract with suppliers as your agent where the proposal says so. In that case the contract for those services is between you and the supplier, and we are not liable for the supplier's own acts or omissions, though we will pursue them on your behalf.
9. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including severe weather, transport failure, industrial action, epidemic, government restriction, venue closure or utility failure. Where an event cannot go ahead for such a reason we will work to postpone it, and will help you recover what can be recovered from suppliers. Amounts already paid to third parties and not refunded by them remain your cost.
10. Intellectual property
Concepts, designs, running orders and materials we create remain ours until paid for in full, at which point ownership of bespoke deliverables transfers to you. We retain the right to describe the work and use photography of it in our own portfolio, unless you tell us in writing that you would rather we didn't.
11. Confidentiality and data
Each party will keep the other's confidential information confidential. Personal data is handled as set out in our privacy notice. Where we process delegate data on your behalf, we do so as your processor under a data processing agreement.
12. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. A person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999.
13. Questions
